Private Placements of Debt and Equity
Debt Placements
Woodbridge Financial Group will assist oil and gas clients and clients in other industries to structure and arrange the private placement of taxable debt, including variable rate, fixed rate, senior, subordinated (mezzanine), convertible, asset-based and mortgage financing. This will be done through a comprehensive review of the client’s needs, an evaluation of alternative capital structures to meet those needs and the preparation of a financing memorandum for presentation to the appropriate financing sources. In determining the appropriate financing sources, Woodbridge Financial Group will use its extensive database of local and national banks, insurance companies, pension funds, finance companies and managed subordinated debt funds to not only find the optimal price, availability, structure and terms of the debt, but also to find the right “fit” between the client and the lender. We will then assist the client to manage the due diligence process, negotiate and close the transaction.
Equity Placements
In certain instances, great opportunities arise that require cash outlays beyond funds available through the addition of debt. In those instances, a viable alternative for the company is to raise capital through the private placement of equity. Woodbridge Financial Group has a broad database of institutional and private equity investors that we can call upon to raise additional equity for the client. The process that we will go through is similar to placing debt: we evaluate the company’s needs, determine the appropriate capital structure to meet those needs, prepare a financing memorandum and present the memorandum to a number of qualified equity sources. We will then assist the client in managing the due diligence process, negotiate and close the transaction.
